1. No Warranties — "As-Is" Basis

ALL VEHICLES, SERVICES, PARTS, LABOR, AND INFORMATION PROVIDED BY GIBSON MOTOR GROUP ARE PROVIDED ON A STRICTLY "AS-IS" AND "AS-AVAILABLE" BASIS. To the fullest extent permitted by law, Gibson Motor Group expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Implied warranties arising from course of dealing, course of performance, or usage of trade
• Any warranty that the Site, services, or any vehicle will meet your requirements or expectations
• Any warranty regarding the accuracy, completeness, or reliability of any information, pricing, listing, or description on the Site
• Any warranty that the Site will be uninterrupted, secure, or error-free

No employee, representative, agent, or affiliate of Gibson Motor Group has the authority to create any warranty not expressly stated herein. Any statements made by any representative — verbal, written, or otherwise — do not constitute warranties and should not be relied upon as such.

2. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GIBSON MOTOR GROUP, ITS OWNERS, EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY DAMAGES OR INJURIES OF ANY KIND ARISING FROM OR RELATED TO:

• Vehicle Purchase, Sale, or Consignment: Any damages, losses, claims, or disputes arising from the purchase, sale, consignment, or brokering of any vehicle, including but not limited to mechanical failures, latent defects, undisclosed conditions, title issues, odometer discrepancies, prior accident history, or any misrepresentation by a prior owner or third party.
• Restoration & Custom Build Services: Any damages resulting from restoration, modification, custom fabrication, or build services, including but not limited to engine failure, drivetrain damage, electrical issues, structural modifications, paint or body work outcomes, parts availability delays, project timeline overruns, or any dissatisfaction with the final result.
• Dyno & Tuning Services: Any engine, drivetrain, or vehicle damage occurring before, during, or after dynamometer testing or tuning sessions. All dyno and tuning services are performed at the Client's sole risk. The Client expressly assumes all risk of mechanical failure, catastrophic engine damage, or any other damage that may occur during testing or tuning.
• Detailing & Cosmetic Services: Any damage to paint, clear coat, interior surfaces, trim, chrome, glass, or any other vehicle component during detailing, paint correction, ceramic coating application, or any cosmetic service.
• Vehicle Sourcing & Acquisition: Any losses or damages arising from vehicle sourcing, inspection, brokering, or acquisition services, including but not limited to misrepresentation by sellers, undisclosed vehicle history, failed inspections, title or registration issues, or any defect discovered after purchase.
• Vehicle Transport & Storage: Any damage, theft, or loss during transportation, towing, or storage of vehicles on or off our premises, regardless of cause.
• Third-Party Services: Any services, products, or representations made by third-party vendors, partners, financing companies, transporters, or subcontractors recommended or used by Gibson Motor Group.

3. Types of Damages Excluded

To the fullest extent permitted by law, Gibson Motor Group shall not be liable for any of the following, regardless of the legal theory under which such damages are sought (whether in contract, tort, negligence, strict liability, or otherwise), and even if Gibson Motor Group has been advised of the possibility of such damages:

• Direct damages
• Indirect, incidental, special, or consequential damages
• Punitive or exemplary damages
• Lost profits, loss of business, or loss of business opportunity
• Loss of use, loss of enjoyment, or diminution in value of any vehicle
• Emotional distress, pain and suffering, or mental anguish
• Cost of substitute goods, services, or transportation
• Any damages arising from delay, non-performance, or partial performance
• Attorneys' fees, court costs, or litigation expenses

4. Cap on Damages

IN ANY EVENT, THE AGGREGATE LIABILITY OF GIBSON MOTOR GROUP FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SITE, OUR SERVICES, OR ANY TRANSACTION SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO GIBSON MOTOR GROUP FOR THE SPECIFIC SERVICE OR VEHICLE GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00). This limitation applies regardless of the number of claims, the nature of the claims, or the legal theory advanced.

5. Indemnification

You agree to indemnify, defend, and hold harmless Gibson Motor Group, its owners, officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to:

• Your use of the Site or our services
• Your violation of any term of this Disclaimer
• Your violation of any third-party right, including intellectual property or privacy rights
• Any claim that your actions or vehicle caused damage or injury to a third party
• Any misrepresentation, omission, or false information provided by you

6. No Guarantees of Outcome

Gibson Motor Group makes absolutely no guarantees, representations, or warranties regarding:

• Appraised value, resale value, or investment potential of any vehicle
• Timeline estimates for any restoration, build, or service work
• Availability or procurement of specific parts, components, or materials
• Dyno testing results, horsepower figures, or performance metrics
• Concours judging outcomes, show results, or award eligibility
• Sale price, time to sell, or ability to sell any consigned or brokered vehicle

Any estimates provided — whether for cost, timeline, or outcome — are estimates only and do not constitute a binding agreement. Actual results may differ materially from any estimate, projection, or statement made by any representative.

7. Vehicle Information & Listings Disclaimer

All vehicle listings, descriptions, specifications, and pricing on the Site are provided for informational purposes only. Gibson Motor Group does not warrant or guarantee the accuracy, completeness, or reliability of any vehicle listing. Vehicles are subject to prior sale, price change, or removal without notice. It is the purchaser's sole responsibility to independently verify all representations, inspect the vehicle (or hire a qualified third-party inspector), and satisfy themselves as to the condition, authenticity, history, and value of any vehicle prior to purchase.

8. Intellectual Property

All content on the Site — including text, images, logos, graphics, photographs, videos, designs, and code — is the exclusive property of Gibson Motor Group or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content without our express prior written consent. Gibson Motor Group and all associated logos and marks are trademarks of Gibson Motor Group.

9. Governing Law & Dispute Resolution

Governing Law: This Disclaimer and all matters arising from or relating to your use of the Site or engagement of our services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Mandatory Arbitration: Any dispute, claim, or controversy arising from or relating to this Disclaimer, the Site, or our services — including disputes regarding the scope, validity, or enforceability of this arbitration provision — shall be resolved exclusively through binding, individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Travis County, Texas.

Class Action & Jury Trial Waiver: YOU HEREBY IRREVOCABLY WAIVE ANY RIGHT TO: (A) PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING; (B) A TRIAL BY JURY IN ANY PROCEEDING; AND (C) CONSOLIDATE OR JOIN CLAIMS WITH THOSE OF ANY OTHER PERSON OR ENTITY. All claims must be brought solely in your individual capacity.

Statute of Limitations: Any claim or cause of action arising from or related to the Site, our services, or this Disclaimer must be filed within one (1) year after the claim or cause of action arises, or it shall be permanently barred.

Venue: In the event arbitration is found to be unenforceable, any litigation shall be brought exclusively in the state or federal courts located in Travis County, Texas, and you irrevocably consent to the personal jurisdiction and venue of such courts.

10. Force Majeure

Gibson Motor Group shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government action or regulation, pandemic or epidemic, supply chain disruptions, parts unavailability, labor disputes, utility or telecommunications failures, fire, flood, or any other cause beyond our reasonable control.

11. Severability

If any provision of this Disclaimer is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

12. No Third-Party Beneficiaries

This Disclaimer is for the sole benefit of Gibson Motor Group and its users. Nothing in this Disclaimer shall be construed to confer any rights or benefits upon any third party. No third party shall have any right to enforce any provision of this Disclaimer.

13. Entire Agreement

This Disclaimer, together with our Privacy Policy and any written service agreement executed between you and Gibson Motor Group for specific services, constitutes the entire agreement between you and Gibson Motor Group regarding your use of the Site and our services. It supersedes all prior or contemporaneous communications, representations, understandings, or agreements, whether oral or written. No course of dealing or usage of trade shall modify any provision of this Disclaimer.

14. Reservation of Rights

Gibson Motor Group reserves all rights not expressly granted herein. We reserve the right to modify, suspend, or discontinue the Site or any service at any time without notice. We reserve the right to refuse service to anyone for any reason or no reason at all, at our sole discretion. We reserve the right to update this Disclaimer at any time; changes become effective immediately upon posting.
